Terms of Use for Zeon accounts, institute workspaces, and related services.

Agreement

What you are accepting and who these Terms cover.

These Terms of Service ("Terms") govern the Zeon service: multi-tenant software for coaching institutes and training centers to run batches, schedules, chat messaging, live classes, recordings, finance features where enabled, and institute-facing AI tools (collectively, the "Service"). The Service is operated by Zeon ("Zeon," "we," "us," or "our"). [Zeon operating company legal name and registered address — for counsel review].

The Service is accessed at accounts.zeon.so (sign-in), api.zeon.so, app.zeon.so, admin.zeon.so, institute subdomains such as yourinstitute.zeon.so, and livekit.zeon.so for real-time classes where enabled.

By signing in (including with Google or, where enabled, GitHub), using an institute subdomain, or continuing past a notice that references these Terms, you agree on behalf of yourself and, where applicable, the institute you represent ("Institute"). You must be at least 18 to accept these Terms for an Institute. If you disagree, do not use the Service.

The Acceptable Use Policy at https://accounts.zeon.so/acceptable-use is incorporated into these Terms. Institutes with a separate written agreement (including a Data Processing Addendum) may have additional terms that prevail on conflict for that Institute.

Definitions

  • "Customer Data" means content and information submitted to the Service by or for an Institute (messages, files, schedules, attendance, fees, recordings, AI prompts, and similar data).
  • "User" means a person with a Zeon account and an Institute role (owner, admin, teacher, student, or other assigned role).
  • "AI Features" means in-product tools such as Ask Zeon, copy checking, grading helpers, and other model-assisted workflows offered inside the Service.

Accounts and access

We authenticate Users primarily through Google OAuth and link accounts to Institute memberships assigned by administrators. GitHub may be offered as an additional sign-in or account-linking method when enabled for your account.

You are responsible for activity under your credentials and for keeping devices secure. Notify your Institute admin and [email protected] if you suspect unauthorized access.

Institutes control invitations, roles, and most configuration. Zeon enforces tenant isolation on the server; Users must not attempt to bypass it.

License and restrictions

We grant a limited, non-exclusive, revocable license to use the Service for the Institute's education and training operations.

You may not reverse engineer the Service, access another Institute's data, scrape or harvest data outside permitted APIs or exports, resell the Service, or use it in violation of the Acceptable Use Policy.

We may change features with reasonable notice where required by a paid order. The Service, software, and branding remain our property or our licensors'.

Customer Data

Institutes retain ownership of Customer Data. You grant Zeon a license to host, process, transmit, display, and back up Customer Data solely to operate and improve the Service as described in the Privacy Policy and any DPA.

Institutes are responsible for notices and consents required for student and staff data they upload. Zeon is not a school official under FERPA and does not represent FERPA or COPPA certification; Institutes remain responsible for compliance programs that apply to them.

AI Features

AI Features can be wrong or incomplete. They support Institute staff; they are not a substitute for professional judgment, safeguarding policies, or academic integrity rules.

We send prompts and necessary context to inference providers (such as Google Gemini, DeepSeek, and Groq) to return results, including Hartog grading of submitted answer scripts and attachments. We do not use Customer Data to train public foundation models. See the Privacy Policy and Subprocessors list.

Institutes must review AI outputs before relying on them for grading, admissions, or parent or student communications.

Privacy and cookies

The Privacy Policy (https://accounts.zeon.so/privacy) and Cookie Policy (https://accounts.zeon.so/cookie-policy) are incorporated by reference.

Fees

Paid plans and trials, if offered, are described at purchase or in a separate order. bKash and other payment flows run only where an Institute enables them; separate processor terms apply at checkout.

Indemnification

You will defend and indemnify Zeon against third-party claims arising from Customer Data or your breach of these Terms or law, except to the extent caused by our gross negligence or willful misconduct.

Third-party services

The Service relies on third parties (for example Google for sign-in, LiveKit for live classes, Cloudflare R2 for recordings storage, Resend for email). Their terms and privacy policies apply to your use of those components.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF USD $50 OR FEES PAID TO US FOR THE SERVICE IN THE SIX MONTHS BEFORE THE EVENT, EXCEPT WHERE LAW FORBIDS LIMITING LIABILITY.

Suspension and termination

We may suspend or terminate access for material breach, security risk, or legal requirement. Institutes may stop using the Service at any time. Export and deletion of Customer Data are handled as described in product documentation or your DPA.

Governing law and disputes

These Terms are governed by the laws of [Governing jurisdiction for B2B contracts — for counsel review], excluding conflict-of-law rules, unless your written Institute agreement states otherwise.

Disputes should first be raised with us at [email protected]. If not resolved informally, either party may bring claims in courts of competent jurisdiction unless a separate signed agreement requires arbitration.

Changes

We may update these Terms by posting a revised version with a new effective date. Material changes may be communicated through the Service or email where appropriate.
